1. Introduction & Acceptance

These Terms & Conditions ("Terms") govern your access to and use of ContactZap – WhatsApp Contact Exporter ("the Service") provided by Synx Automation Private Limited ("Synx", "we", "us", "our"), a company incorporated under the Companies Act, 2013, with CIN U62099KL2024PTC087457.

By accessing, installing, subscribing to, or using the Service, you ("User", "you") confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must immediately cease all use of the Service.

These Terms shall be governed by and construed in accordance with the laws of India, and the exclusive jurisdiction for any disputes shall vest in the courts of Trivandrum, Kerala.

4. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under applicable law. By using the Service, you represent and warrant that you meet these requirements. Use of the Service by minors is strictly prohibited.

The Service is offered primarily for business use. You represent that you are accessing the Service for lawful business purposes and not for personal, household, or consumer use.

5. Account Registration & Security

To access the Service, you may be required to create an account. You agree to:

• Provide accurate, complete, and current registration information.
• Maintain the confidentiality of your account credentials.
• Notify us immediately at legal@synxautomate.com of any unauthorised use or security breach.
• Accept full responsibility for all activities conducted through your account.

We reserve the right to suspend or terminate accounts found to be in violation of these Terms without prior notice.

6. Subscription Plans & Payment

The Service is offered under subscription-based pricing. By subscribing, you agree to the following:

6.1 Subscription Terms

• Monthly Subscription: Your subscription commences on the date of purchase and renews automatically every calendar month until cancelled.
• Annual Subscription: Your subscription commences on the date of purchase and runs for a full twelve (12) calendar months, renewing automatically unless cancelled prior to the renewal date.
• Pricing is exclusive of applicable taxes. Goods and Services Tax (GST) at the applicable rate will be levied in addition to the stated price for Indian customers.

6.2 Refund Policy

Refund requests can be raised within 48 hours of purchase for technical issues (e.g. the product not working as described). Contact support@synxautomate.com with your transaction details. Otherwise, subscriptions are non-refundable: a monthly subscription constitutes a binding monthly contract and an annual subscription a binding annual contract. Synx Automation Private Limited does not issue refunds, credits, or prorated amounts for partial periods, unused features, or early cancellations except for valid technical-issue requests (within 48 hours) or where expressly required by applicable Indian law.

6.3 Payment Processing

Payments are processed through third-party payment gateways. By providing payment information, you authorise us to charge the applicable fees. We do not store full card or banking details; all sensitive payment data is handled by our payment processors in accordance with PCI DSS standards.

6.4 Failed Payments & Suspension

If a recurring payment fails, we may attempt to collect payment up to three times within seven (7) days. If payment remains unsuccessful, the Service may be suspended until the outstanding amount is cleared. Synx shall not be liable for any loss arising from service suspension due to payment failure.

7. Permitted & Prohibited Use

You may use the Service only for lawful business purposes in accordance with these Terms. You expressly agree NOT to:

• Use the Service to send unsolicited bulk messages, spam, or harassing communications.
• Violate any applicable local, national, or international law or regulation.
• Infringe or misappropriate the intellectual property rights of any third party.
• Attempt to gain unauthorised access to any part of the Service or its underlying systems.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Sell, resell, sublicense, or transfer access to the Service without prior written consent from Synx.
• Engage in activities that may damage, disable, or impair the Service or servers.
• Use automated tools, bots, or scripts to interact with the Service in ways not expressly permitted.

8. Intellectual Property

All content, software, trademarks, logos, trade names, service marks, and other intellectual property associated with the Service, including but not limited to "ContactZap – WhatsApp Contact Exporter", are the exclusive property of Synx Automation Private Limited or its licensors.

Nothing in these Terms grants you any right, title, or interest in or to our intellectual property. You may not use our trademarks or branding without our prior written consent.

You retain all rights to data and content you input into the Service. By using the Service, you grant Synx a non-exclusive, royalty-free licence to process such data solely for the purpose of providing the Service to you.

9. Third-Party Services & Integrations

The Service may integrate with or rely on third-party services, APIs, or platforms (collectively "Third-Party Services"). We make no representations regarding the availability, accuracy, or security of any Third-Party Services.

Your use of Third-Party Services is subject to their respective terms and privacy policies. Synx shall not be liable for any loss, interruption, or breach arising from the failure or conduct of Third-Party Services.

10. Service Availability & Modifications

We endeavour to maintain high availability of the Service but do not warrant uninterrupted, error-free access. We reserve the right to:

• Modify, suspend, or discontinue any feature of the Service with or without notice.
• Perform scheduled maintenance that may temporarily interrupt access.
• Update these Terms at any time; continued use of the Service constitutes acceptance of revised Terms.

Material changes to these Terms will be communicated via email or in-app notification at least fourteen (14) days prior to the change taking effect, where reasonably practicable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNX AUTOMATION PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount paid by you to Synx in the three (3) calendar months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Synx Automation Private Limited, its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• Your infringement of any third-party rights.
• Any content you submit or transmit through the Service.

13. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Service. Synx may terminate or suspend your access immediately if you breach these Terms.

Upon termination: (a) your right to access the Service ceases; (b) any fees paid for the current subscription period are non-refundable; (c) data retention provisions in our Privacy Policy continue to apply.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator, conducted in Trivandrum, Kerala, in the English language.

Nothing herein shall prevent either party from seeking interim injunctive relief from a competent court.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and Data Security Policy, constitute the entire agreement between you and Synx regarding the Service.
• Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Failure to enforce any right under these Terms shall not constitute a waiver of that right.
• Force Majeure: Synx shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.
